HortenCC represented CAXA Technology Co., Ltd., a Beijing software company, in the formation of a strategic alliance with Dassault Systèmes S.A., a large public French software company, that grants CAXA the right to distribute and localize Dassault’s computer aided design software products in China.
Hanna Strategies Holdings, Inc. is an engineering services firm that offers software development with centers in Shanghai, China, Atlanta, Georgia and Pune, India. HortenCC represented the company in a transaction with Autodesk, Inc., a large public California software company, pursuant to which Autodesk made a substantial equity investment in the company and received an option from the company’s founders to acquire their stock at a predetermined formula price. The engagement required a pre-acquisition restructuring of Hanna’s Atlanta and Shanghai operations. A year later, HortenCC represented the company in its sale to Autodesk under a renegotiated merger transaction.
HortenCC represented Masisa S.A., a large public Chilean manufacturer of value-added wood products, in the restructuring of its North American operations.
HortenCC represented Groupe Rians S.A., a large French cheese producer, in its first US acquisition. The company purchased the brand and cheese-making operations of Laura Chenel’s Chèvre, Inc., a Sonoma, California, based company. Laura Chenel’s, which produces a fresh goat cheese that many call the best in America, almost single-handedly turned America on to goat cheese in the early 1980’s.
HortenCC represented Mann Bracken, LLC, one of the country’s largest collections law firms, in the formation of Axiant, LLC, a joint venture debt collection business owned by the Mann Bracken partners and Accretive, LLC, a New York hedge fund. The transaction required the development of a complex legal structure to comply with the regulatory requirements to which law firms and collection agencies are subject. The transaction was a first in the legal industry in that it allowed the Mann Bracken partners to monetize their ownership interests in the law firm.
HortenCC represented Phoenix Holdings, LLC, an Atlanta hedge fund management company, in the formation of several hedge funds that produce medium-term cash returns through the acquisition of portfolios of charged-off consumer credit card receivables sold at steep discounts by various originating financial institutions and third-party resellers.
HortenCC represented Industriaplex, Inc., an Atlanta integrated, diversified manufacturer and distributor of retail, commercial, industrial, and office infrastructure products and services, in a major acquisition program to acquire local distribution and service companies in the eastern part of the United States.
HortenCC represented IronCAD, LLC, an Atlanta software company, in a “merger” transaction with CAXA Technology Co., Ltd., a Beijing software company, that resulted in IronCAD and CAXA becoming subsidiaries of a newly created British Virgin Islands holding company owned by the former owners of CAXA and IronCAD. The transaction required the development of a complex legal structure to minimize the impact of the US international outbound tax rules.
